OVERVIEW
These Terms of Service govern your use of the Corey Technical website and any purchase made from Corey Technical Ltd.
The terms “Corey Technical”, “we”, “us” and “our” refer to Corey Technical Ltd, trading as Corey Technical. The terms “you” and “your” refer to the person or organisation accessing our website, requesting a quotation or purchasing from us.
Corey Technical Ltd operates this website and online store. Our ecommerce platform is provided by Shopify, which enables us to present and sell our products and services online.
In these Terms:
A “consumer” is an individual acting for purposes wholly or mainly outside that individual’s trade, business, craft or profession.
A “business customer” is any customer who is not a consumer.
An “order” includes an order submitted through our website and, where applicable, an order submitted following a quotation or by another method accepted by us.
These Terms, together with any quotation, order confirmation and policies expressly incorporated into them, set out the agreement between you and Corey Technical.
Please read these Terms carefully before using our website or placing an order. Nothing in these Terms excludes or restricts any rights or remedies that cannot lawfully be excluded or restricted.
SECTION 1 – ELIGIBILITY, AUTHORITY AND ACCOUNTS
You must be at least 18 years old and have the legal capacity to enter into a contract to place an order.
If you access our website, request a quotation or place an order on behalf of a company, public body, partnership or other organisation, you confirm that you have authority to act for and bind that organisation.
You must provide accurate, current and complete information when using our website, requesting a quotation or placing an order. This includes your name, company details, email address, telephone number, billing information and delivery address.
If you create an account, you are responsible for keeping your login details secure and for activity carried out through that account, except where unauthorised activity results from our breach of duty or a failure in systems under our control.
You must notify us promptly if you believe that an account or login details have been accessed without permission.
SECTION 2 – PRODUCTS AND PRODUCT INFORMATION
We take reasonable care to ensure that product descriptions, specifications, prices, photographs and other information are accurate.
Product photographs and rendered images are illustrative. Colours, screen displays, included components and the appearance of equipment may vary slightly from images displayed on your device. Manufacturer packaging and minor product details may also change without notice.
Technical specifications may be updated by a manufacturer. We may correct or update product information before accepting an order. We will not make a material change to an accepted order without informing you and obtaining any agreement required by law.
Products supplied to consumers must be as described, of satisfactory quality and fit for any particular purpose made known to us where required by law.
Technical performance depends on factors including the selected model, detector, lens, software, settings, target, working distance, environmental conditions and correct operation.
Website content, product comparisons and general guidance do not replace manufacturer instructions, appropriate training, safe systems of work or professional technical judgement.
You must use all equipment in accordance with its published specifications, operating instructions, safety information and applicable laws or professional requirements.
We may discontinue products, revise the products offered or limit the quantities available where it is lawful and reasonable to do so.
SECTION 3 – CAMERA AND LENS ADVICE
Corey Technical may provide general assistance with camera selection, lens selection and equipment configuration.
Our recommendations are based on the information you provide. You are responsible for giving us complete and accurate information about your intended application, target size, working distance, temperature range, operating environment and any other relevant requirement.
For consumers, nothing in this section affects any statutory right relating to goods being fit for a particular purpose that has been made known to us.
For business customers, you remain responsible for reviewing the relevant specification and confirming that the selected equipment meets your technical, regulatory, contractual and operational requirements, unless we have expressly accepted responsibility for a specific requirement in writing.
We do not guarantee a particular inspection result where performance is affected by operating conditions, user competence, target characteristics, camera settings or other factors outside our reasonable control.
SECTION 4 – QUOTATIONS AND PURCHASE ORDERS
A quotation is valid for the period stated on it. If no validity period is stated, you should request confirmation before seeking to accept it.
A quotation is normally an invitation for you to place an order and does not oblige us to supply the quoted products until we accept the resulting order.
Prices and availability stated in a quotation may need to be reconfirmed after the validity period has expired.
You are responsible for checking that the product, lens, accessories, quantities, billing details and delivery details shown on a quotation are correct before placing an order.
A purchase order, acceptance email or other instruction sent in response to a quotation constitutes an offer to purchase on these Terms unless we expressly agree otherwise in writing.
For business customers, terms printed on or incorporated into your purchase order or other document will not apply merely because you send that document to us. Any different or additional term must be expressly accepted by an authorised representative of Corey Technical in writing.
If a quotation expressly states that particular terms take precedence over these Terms, the quotation will prevail to the extent of any inconsistency.
SECTION 5 – PLACING AN ORDER AND CONTRACT FORMATION
When you place an order, you are making an offer to purchase the products shown in that order.
An automated acknowledgement confirms that we have received your order. It does not necessarily mean that we have accepted it.
A contract is formed when we send an express order acceptance or dispatch confirmation, whichever occurs first. We may contact you to confirm availability, configuration, delivery information or another detail before accepting the order.
We reserve the right to decline an order before acceptance. Reasons may include:
The product or configuration is unavailable.
The price or product information contains an obvious error.
We cannot obtain payment authorisation.
We cannot deliver to the requested location.
The order presents a suspected fraud, sanctions, export-control or security risk.
We reasonably believe that the order would breach applicable law or a supplier restriction.
If we decline an order after taking payment, we will refund the relevant amount promptly using the original payment method unless another lawful arrangement is agreed.
You must check your order carefully before submitting it. Please contact us immediately if you need to correct or cancel an order.
We may be unable to amend or cancel an order after it has been accepted or entered fulfilment, subject to any cancellation rights that apply to consumers.
We will provide consumers with confirmation of the contract in a form that can be retained, no later than delivery of the goods, as required by applicable law.
SECTION 6 – PRICES, VAT AND PAYMENT
Prices are stated in pounds sterling unless clearly indicated otherwise.
Product pages may display both the price including VAT and the corresponding price excluding VAT. The checkout, order confirmation or formal quotation will show the total amount payable.
Prices displayed to consumers include VAT where applicable. Where a price is expressly stated to exclude VAT, VAT will be added at the applicable rate.
Delivery charges and any other mandatory charges payable to Corey Technical will be disclosed before you place an online order or will be shown on your quotation.
Prices, promotions and discounts may change before an order is accepted. Once an order has been accepted, the agreed price will not change except where the law permits it or you agree to a change.
If we discover an obvious pricing error before accepting an order, we may correct it or decline the order.
If an obvious pricing error is discovered after an order has been accepted and lawful fulfilment at that price is not reasonably possible, we will contact you and offer the available lawful options. These may include confirming the order at the corrected price or cancelling the affected order for a full refund.
You must provide complete and accurate payment information and confirm that you are authorised to use the selected payment method.
Unless written credit terms have been agreed with a business customer, payment must be made in accordance with the checkout or quotation before fulfilment.
Where credit terms have been agreed, payment must be made by the due date shown on the invoice. We may suspend further supply where an undisputed amount is overdue.
SECTION 7 – AVAILABILITY AND LEAD TIMES
Professional thermal imaging equipment is often supplied to order in a particular camera, lens and accessory configuration.
Availability and delivery estimates may vary according to the manufacturer, product, configuration and current supply position.
Any lead time shown on a product page, quotation or order communication is an estimate unless we expressly agree a guaranteed delivery date in writing.
We will take reasonable steps to meet the estimated lead time and will contact you if we become aware of a material delay or change in availability.
Where part of an order becomes unavailable, we may offer an appropriate alternative. We will not substitute a materially different product without your agreement.

SECTION 8 – SHIPPING AND DELIVERY
We will deliver to the address confirmed in your order.
You are responsible for ensuring that the delivery address, postcode, telephone number and contact details are accurate and that an appropriate person is available to receive high-value equipment.
Orders are normally sent using a tracked service and may require a signature.
For consumers, unless a different delivery period has been expressly agreed before or when the contract is formed, we will deliver without undue delay and no later than 30 days after the contract is formed.
A different delivery period may apply where a longer lead time is clearly stated on the product page, quotation or order information before you place the order and is accepted as part of the contract.
Delivery estimates are not guaranteed unless we expressly state otherwise. Your legal rights in relation to late delivery remain unaffected.
Products may be dispatched by a manufacturer, distributor, service provider or other fulfilment partner on our behalf. Your contract of sale remains with Corey Technical Ltd unless we clearly tell you otherwise before the contract is formed.
An order containing several items may be delivered in more than one shipment. You will not be charged an additional delivery fee solely because Corey Technical chooses to divide an order into separate shipments.
If nobody is available to accept delivery, the courier may follow its normal redelivery, collection or return procedure. Additional delivery costs caused by an incorrect address, repeated failed delivery or an unreasonable refusal to accept the goods may be charged where lawful and reasonable.
We are not responsible for delay caused by circumstances outside our reasonable control, but we will take reasonable steps to minimise the effect and keep you informed where practicable.
SECTION 9 – IMPORT CHARGES
Some products may be dispatched directly from a manufacturer or supply partner outside the United Kingdom.
Where this forms part of Corey Technical’s normal fulfilment arrangements for a UK order, Corey Technical will manage the applicable import process.
You will not be asked by the courier to pay unexpected import VAT, customs clearance charges or duties unless a different arrangement has been expressly disclosed and agreed before the order is placed.
For deliveries outside the United Kingdom, responsibility for import duties, taxes, customs clearance and associated charges will be confirmed before we accept the order.
SECTION 10 – RISK AND OWNERSHIP
For consumers, risk of loss or damage passes to you when the products come into the physical possession of you or a person identified by you to receive them.
If a consumer independently appoints a carrier that was not offered by us, risk passes when the goods are delivered to that carrier, to the extent permitted by law.
For business customers, risk passes on delivery to the agreed delivery location unless expressly agreed otherwise in writing.
Ownership of the products will not pass to you until we have received payment in full for them.
Until ownership passes, a business customer must keep the products identifiable as goods supplied by Corey Technical, take reasonable care of them and keep them adequately insured.
Nothing in this section limits any rights or remedies that cannot lawfully be excluded.
SECTION 11 – CHECKING YOUR DELIVERY
You should inspect the external packaging and equipment as soon as reasonably possible after delivery.
If packaging or equipment appears damaged, you should:
Photograph the external packaging before opening it where possible.
Retain the packaging and supplied materials.
Check the equipment and included accessories.
Record anything that appears damaged or missing.
Contact Corey Technical promptly.
Prompt reporting helps us raise the issue with the courier, supplier or manufacturer. It does not remove any statutory right that applies to you.
Do not return equipment without first receiving return authorisation and the correct return address.
SECTION 12 – CONSUMER CANCELLATION RIGHTS
If you are a consumer and purchase goods at a distance, you will normally have the right to cancel the contract without giving a reason.
The cancellation period normally ends 14 days after the day on which you, or a person identified by you other than the carrier, receives the goods.
For an order containing multiple goods delivered separately, the cancellation period normally ends 14 days after the final item is received.
You must clearly tell us of your decision to cancel before the cancellation period expires. You may contact us using the details at the end of these Terms or use any cancellation method described in our Refund Policy.
After notifying us of cancellation, you must normally return the goods within a further 14 days.
You are responsible for the direct cost of returning goods following a change-of-mind cancellation unless we have agreed otherwise or applicable law requires us to bear that cost.
You may inspect the goods as you reasonably could in a shop. We may make a deduction from the refund where handling beyond what is reasonably necessary to establish the nature, characteristics and functioning of the goods has reduced their value, where permitted by law.
Professional equipment should not be used for commercial inspections, customer work, extended testing or data collection if you intend to return it under the change-of-mind cancellation right.
Where a consumer validly cancels, we will refund payments received for the cancelled goods together with the cost of the least expensive standard delivery method offered for the original order.
Additional amounts paid for expedited, enhanced or other non-standard delivery may not be refunded.
We may withhold the refund until we have received the returned goods or you provide evidence that they have been sent, whichever occurs first.
We will make the refund within the period required by applicable law using the original payment method unless another method is expressly agreed and does not result in additional cost to you.
SECTION 13 – EXCEPTIONS TO CONSUMER CANCELLATION RIGHTS
Consumer change-of-mind cancellation rights do not apply in every situation.
Subject to applicable law, exceptions may include:
Goods made to the consumer’s specifications or clearly personalised.
Sealed software that has been unsealed after delivery.
Digital content supplied without a tangible medium after the consumer has expressly requested immediate supply and acknowledged the resulting loss of the cancellation right.
Services fully performed after the consumer expressly requested performance during the cancellation period and acknowledged the applicable consequences.
Other products or contracts excluded by applicable law.
Selecting a camera, lens or accessory from standard options does not automatically mean that the product is made to the customer’s specifications.
We will not treat an item as excluded from statutory cancellation rights unless the relevant legal conditions are satisfied.
SECTION 14 – BUSINESS CUSTOMER CANCELLATIONS AND RETURNS
Business customers do not automatically receive the statutory cooling-off rights given to consumers purchasing at a distance.
An order placed wholly or mainly for business purposes may not be cancelled after acceptance unless:
The cancellation is permitted by the applicable quotation or order terms.
Corey Technical agrees to the cancellation in writing.
The products are faulty, incorrectly supplied or otherwise give rise to a contractual remedy.
Another legal right applies.
Any approved business change-of-mind return may be subject to reasonable conditions agreed with the business customer, including the condition of the goods, return authorisation, return delivery costs and any reasonable loss caused by cancellation.
Nothing in this section removes any right or remedy that a business customer has under an accepted quotation, these Terms or applicable law.
SECTION 15 – RETURNS AND REFUNDS
You must contact Corey Technical before returning any product.
The appropriate return address may depend on the product, manufacturer and reason for return. Do not send goods to our registered office, a manufacturer or another address unless we instruct you to do so.
Returned equipment must be securely packaged and should include all components requested in the return instructions.
Unless the goods are being returned because they arrived faulty, damaged or incorrectly supplied, the return should include all originally supplied components, accessories, cases, cables, documentation and bundled items.
Where reasonably possible, use the original protective case and packaging inside an appropriate outer carton.
We recommend using a tracked and adequately insured delivery service where you are responsible for arranging the return.
Returned goods may be inspected before a refund, replacement or other resolution is confirmed.
Approved refunds will be made to the original payment method unless another lawful method is agreed.

If there is any inconsistency, rights that cannot lawfully be excluded or restricted will take precedence.
SECTION 16 – FAULTY, DAMAGED OR INCORRECT GOODS
If you believe that goods are faulty, damaged, incomplete or incorrectly supplied, contact Corey Technical before returning them.
We may ask for:
Your order number.
The product and serial number.
A description of the issue.
Photographs or video.
Sample thermal images.
Error messages.
Firmware or software information.
Details of the circumstances in which the issue occurs.
We may carry out or guide you through reasonable initial checks to establish whether the issue relates to settings, firmware, software, power, accessories, lens installation or another matter that can be resolved without a return.
These checks do not reduce any statutory rights.
Where equipment requires inspection, repair or replacement, we will provide appropriate return instructions.
For consumers, goods must be of satisfactory quality, fit for any particular purpose made known to us and as described. Nothing in these Terms limits the remedies available under the Consumer Rights Act 2015 or other applicable law.
Manufacturer warranties are additional to applicable statutory rights and do not replace them.
SECTION 17 – MANUFACTURER WARRANTIES
Products may include a manufacturer warranty. The applicable period and conditions vary according to the manufacturer, product and component.
Warranty information shown on a product page or our Warranty & Faults page is a general summary. The manufacturer’s applicable warranty documentation will govern the additional manufacturer warranty, subject always to statutory rights.
Warranty cover may require inspection or assessment and may not apply to problems caused by:
Accidental damage.
Misuse.
Operation outside published specifications.
Unauthorised modification, disassembly or repair.
Incorrect installation.
Incompatible accessories or power supplies.
Environmental exposure outside the product’s stated protection.
Improper storage or transportation.
Normal wear and deterioration.
Loss or theft.
Other exclusions contained in the applicable manufacturer warranty.
Where a fault is accepted under warranty, the available resolution may include troubleshooting, repair, component replacement, product replacement, a software or firmware remedy or another resolution permitted by the warranty and applicable law.
An immediate or advance replacement is not guaranteed unless expressly agreed.

SECTION 18 – CALIBRATION, DATA AND SOFTWARE
A manufacturer warranty and calibration are not the same.
Warranty assessment concerns faults or defects. Calibration concerns verification of measurement performance against an appropriate reference.
Unless expressly stated otherwise, periodic calibration is not included in the purchase price or manufacturer warranty.
Before returning equipment, you should back up thermal images, visible-light images, reports, templates, settings and any other information you wish to retain.
Diagnosis, repair, updating or replacement may require equipment to be reset, reformatted or restored to factory settings. We cannot guarantee that stored data or personalised settings will be preserved.
You should remove confidential, commercially sensitive or personal information from returned equipment where reasonably possible.
Software, mobile applications, firmware and digital services may be provided by the manufacturer or another third party and may be subject to separate licence terms, system requirements and privacy policies.
We are not responsible for a third-party provider discontinuing or materially changing separately provided software or online functionality, except to the extent that we expressly agreed otherwise or applicable law makes us responsible.
SECTION 19 – INTELLECTUAL PROPERTY
The website and its content, including text, design, graphics, photographs, videos, logos, product presentation and original written material, are owned by or licensed to Corey Technical Ltd and are protected by applicable intellectual-property laws.
Manufacturer names, product names, trademarks, logos, images, specifications, manuals and other materials may be owned by their respective rights holders.
You may access and use the website for lawful personal use or internal business evaluation.
You may print or download reasonable extracts for personal reference, internal review or procurement assessment, provided that you do not remove ownership notices or use the material in a misleading or infringing manner.
You must not reproduce, republish, distribute, modify, scrape, commercially exploit or create derivative works from website content without permission, except where permitted by law.
Nothing in these Terms transfers ownership of any intellectual-property right or grants a licence beyond the limited use expressly described.
SECTION 20 – THIRD-PARTY LINKS AND SERVICES
Our website may contain links to manufacturer websites, software downloads, documentation, applications and other third-party resources.
We do not control every third-party website and cannot guarantee its continued availability, security, accuracy or privacy practices.
A link does not necessarily imply endorsement or an authorised commercial relationship unless expressly stated.
You should review the terms, system requirements and privacy information that apply to third-party services before using them.
We are not responsible for a separate purchase or agreement entered directly between you and a third party.
Nothing in this section excludes liability arising from our own breach of contract, negligence, misrepresentation or another duty where that liability cannot lawfully be excluded.
SECTION 21 – SHOPIFY
Our online store is hosted and supported by Shopify.
Products purchased through our store are sold by Corey Technical Ltd, not Shopify. Corey Technical is responsible for accepting and fulfilling orders and for meeting its obligations as the seller.
Shopify may process information and provide technical functionality required to operate the store, checkout and associated services.
Your use of Shopify-provided functionality may also be subject to Shopify’s applicable terms and privacy information.
SECTION 22 – PRIVACY
Personal information collected through our website, forms, quotations and orders is handled in accordance with our Privacy Policy:

We may share relevant information with Shopify, payment providers, manufacturers, distributors, couriers, service providers and professional advisers where necessary to operate the website, process an order, deliver equipment, provide support, comply with law or protect legitimate interests.
Some providers may process information outside the United Kingdom. Where required, appropriate safeguards will be used as explained in our Privacy Policy.
SECTION 23 – REVIEWS, FEEDBACK AND SUBMITTED CONTENT
If you send us a review, suggestion, testimonial, photograph, comment or other feedback, you retain ownership of your content.
You grant Corey Technical a non-exclusive, worldwide, royalty-free licence to use, reproduce, adapt, publish and display that content for the purposes of operating, improving and promoting our business and services.
We will not use identifiable confidential technical or commercial information for marketing without appropriate permission.
You confirm that you have the right to submit the content and that it does not infringe another person’s intellectual-property, privacy or other rights.
Submitted content must not be unlawful, abusive, defamatory, misleading, obscene, fraudulent or contain malicious code.
We may remove or decline to publish content that we reasonably believe breaches these Terms or applicable law.
We are not required to keep unsolicited feedback confidential, pay for it or respond to it unless we have agreed otherwise.
SECTION 24 – ERRORS AND CORRECTIONS
Website information may occasionally contain typographical errors, inaccuracies or omissions relating to product descriptions, specifications, pricing, promotions, delivery charges, transit times or availability.
We may correct errors and update information before an order is accepted.
If an error is identified after acceptance and materially affects the order, we will contact you promptly and offer the options available under the contract and applicable law.
We will not reduce a consumer’s statutory rights or make a material change to an accepted consumer order without agreement where the law requires it.
SECTION 25 – PROHIBITED USE
You may use our website only for lawful purposes.
You must not use the website:
For unlawful, fraudulent or malicious activity.
In breach of sanctions, export controls or other applicable laws.
To infringe our rights or another person’s rights.
To transmit harmful code or interfere with website security.
To impersonate another person or provide deliberately misleading information.
To collect personal information unlawfully.
To send spam or unsolicited promotional communications.
To bypass access restrictions, security measures or technical controls.
To scrape, extract or commercially exploit content contrary to these Terms or our published technical controls.
To disrupt another person’s use of the website or expose Corey Technical, Shopify or another user to harm or liability.
We may restrict or suspend access where we reasonably believe this is necessary to protect the website, customers, our business or compliance with law.
SECTION 26 – SUSPENSION AND TERMINATION
We may suspend or terminate an account or access to our website where:
You materially breach these Terms.
We reasonably suspect fraud, unlawful activity or a security threat.
Suspension is required by law.
It is necessary to protect customers, the website or our business.
We discontinue the relevant website service.
Where reasonably practicable, we will provide notice.
Suspension or termination of website access does not automatically cancel an accepted order, remove an accrued right or remedy, or affect an obligation that should continue after termination.
SECTION 27 – WEBSITE AVAILABILITY AND GENERAL INFORMATION
We take reasonable care when publishing general product and commercial information.
However, articles, guides, comparisons and other non-contractual website content are provided for general information and may not be complete, current or suitable for every application.
We do not guarantee that the website will always be available, uninterrupted, secure or free from errors.
Temporary interruption for maintenance, updates, security or circumstances outside our reasonable control does not affect an accepted order or any right that cannot lawfully be excluded.
Nothing in this section excludes a consumer’s right to receive goods that conform to the contract or any other right or liability that cannot lawfully be excluded.
SECTION 28 – LIMITATION OF LIABILITY
Nothing in these Terms excludes or limits liability for:
Death or personal injury caused by negligence.
Fraud or fraudulent misrepresentation.
Breach of legal terms relating to title to goods.
Liability for defective products where it cannot lawfully be excluded.
Any other liability that cannot lawfully be excluded or limited.
If you are a consumer, we are responsible for loss or damage that is a foreseeable result of our breach of these Terms or failure to use reasonable care and skill.
Loss or damage is foreseeable if it was obvious that it would happen or if both parties knew that it might happen when the contract was formed.
We are not responsible for loss caused by inaccurate or incomplete information supplied by you, misuse of equipment, failure to follow manufacturer instructions or circumstances outside our reasonable control, except where the law provides otherwise.
We do not exclude liability to a consumer for damage to property caused by our failure to use reasonable care and skill.
Where a consumer purchases mainly for personal use, we are not liable for business losses arising from that purchase.
If you are a business customer, subject to the first paragraph of this section and to the fullest extent permitted by law:
We will not be liable for indirect or consequential loss.
We will not be liable for loss of profit, revenue, business, contracts, anticipated savings, goodwill, opportunity or data.
Our total aggregate liability arising out of or in connection with an order, whether in contract, tort including negligence, breach of statutory duty or otherwise, will not exceed the total amount paid or payable under the order giving rise to the claim.
The business limitations in this section apply only to the extent that they are reasonable and lawful under the Unfair Contract Terms Act 1977 and other applicable law.
SECTION 29 – BUSINESS CUSTOMER INDEMNITY
This section applies only to business customers.
You will indemnify Corey Technical Ltd against third-party losses, liabilities, damages and reasonable legal costs to the extent directly caused by:
Your material breach of these Terms.
Your unlawful infringement of a third party’s rights.
Your unlawful, unsafe or unauthorised use of the website or products.
This indemnity does not apply to the extent that the loss was caused by our negligence, breach of contract or unlawful act.
We will take reasonable steps to mitigate loss and will notify you of a relevant claim where reasonably practicable.
Nothing in this section requires a consumer to indemnify Corey Technical.
SECTION 30 – EVENTS OUTSIDE OUR REASONABLE CONTROL
We will not be responsible for a delay or failure caused by an event outside our reasonable control.
Such events may include transport disruption, courier failure, customs delay, industrial action, natural disaster, fire, flood, epidemic, pandemic, war, civil disorder, government action, sanctions, import or export restrictions, manufacturer interruption, power failure, telecommunications failure or cyber incident.
We will take reasonable steps to reduce the effect of the event and will contact you where it materially affects an accepted order.
If the event causes a significant delay, any cancellation or refund rights available under the contract or applicable law will remain unaffected.
SECTION 31 – SEVERABILITY
If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be treated as modified to the minimum extent necessary to make it enforceable or, if that is not possible, severed.
The remaining provisions will continue in effect.
SECTION 32 – WAIVER
If we do not immediately enforce a right or provision, this does not mean that we have waived it.
A waiver will be effective only for the particular circumstances in which it is given.
SECTION 33 – ENTIRE AGREEMENT AND ORDER OF PRECEDENCE
These Terms, together with the accepted quotation, order confirmation and policies expressly incorporated into them, form the agreement between you and Corey Technical concerning the website and order.
Nothing in this section excludes liability for fraud or fraudulent misrepresentation or prevents a consumer from relying on information or rights that applicable law treats as binding.
For business customers, the agreement supersedes earlier proposals, communications and representations relating to its subject matter, except for any representation or liability that cannot lawfully be excluded.
If documents conflict, the following order of precedence applies unless expressly agreed otherwise:
An individually negotiated written agreement signed or expressly accepted by Corey Technical.
The accepted quotation, but only where it expressly varies these Terms.
The order confirmation.
These Terms.
The policies incorporated into these Terms.
If a term in a consumer contract can have different meanings, the meaning most favourable to the consumer will apply where required by law.
SECTION 34 – ASSIGNMENT
You may not transfer your rights or obligations under these Terms without our prior written agreement, except where the law gives you the right to do so.
We may transfer our rights and obligations to an affiliate, purchaser of our business or another organisation capable of performing them.
If you are a consumer, we will notify you of a transfer that materially affects you. A transfer will not reduce your contractual or statutory rights.
SECTION 35 – THIRD-PARTY RIGHTS
Except where expressly stated, a person who is not a party to the contract will not have a right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.
This does not affect any right or remedy available independently of that Act.
SECTION 36 – GOVERNING LAW AND JURISDICTION
These Terms and any contract between you and Corey Technical are governed by the laws of England and Wales.
If you are a business customer, the courts of England and Wales will have exclusive jurisdiction over disputes arising from or connected with these Terms or an order.
If you are a consumer, the courts of England and Wales will have non-exclusive jurisdiction. You may also have the right to bring proceedings in the part of the United Kingdom or other country in which you live.
Nothing in this section deprives a consumer of mandatory protections provided by the law of the country in which that consumer habitually resides.

Please provide your order number, relevant product information and a clear description of the issue. We will review the complaint and aim to respond within a reasonable period.
Nothing in this section restricts your right to seek independent advice or use any court, regulator or dispute-resolution process available to you.
SECTION 38 – CHANGES TO THESE TERMS
The current version of these Terms will be available on this page.
We may update these Terms to reflect changes to our website, products, fulfilment arrangements, business or applicable law.
Where required, we will provide notice of a material change before it takes effect.
A change will not retrospectively alter an order already accepted unless you agree or applicable law permits or requires the change.
The version in force when an order is accepted will normally apply to that order.
